General Terms and Conditions (GTC)

1. Introduction

These General Terms and Conditions (GTC) apply to the HR/EOR/PEO, tax advisory, accounting, payroll, and corporate support services provided by TILEA Consulting Ltd. (registered office: HU-2318 Szigetszentmárton, Templom street 3., Hungary; tax number: 12437119-2-13; company registration number: 13-09-145557) – hereinafter referred to as the Service Provider.

The purpose of these GTC is to set out the conditions for the use of the services provided by the Service Provider, as well as the rights and obligations of the Parties.

The GTC is available on the Service Provider’s website (peo-services.com).

2. Scope of Services

2.1. HR, EOR, and PEO services, including but not limited to:

  • Recruitment and Selection:
    • Posting job advertisements
    • Receiving and pre-screening applications
    • Organizing and conducting interviews
    • Reference checks
    • Preparing employment contracts
  • Employee Administration:
    • Managing employment contracts
    • Handling employment-related documents (e.g., employment records)
    • Maintaining employee database
    • Managing HR information system (HRIS)
    • Visa processing
    • Handling work permits
  • Payroll and Benefits Administration:
    • Payroll processing
    • Calculating and paying taxes and contributions
    • Managing employee benefits (e.g., health insurance, pension plans)
    • Managing employee bonuses and other incentives
  • Training and Development:
    • Assessing employee training needs
    • Organizing and conducting training programs
    • Developing career development plans
    • Developing and operating performance evaluation systems
  • Employee Relations and Communication:
    • Conducting and analyzing employee satisfaction surveys
    • Organizing employee communication and information
    • Conflict resolution and mediation
    • Increasing employee engagement
  • Regulatory Compliance and Employment Law Advisory:

  • Tax Audit Support:
    • Preparing for tax audits
    • Representing clients during tax authority audits
    • Preparing audit reports and responses
    • Communicating with tax authorities
  • Transfer Pricing:
    • Preparing transfer pricing documentation
    • Pricing transactions between related parties
    • Developing and reviewing transfer pricing policies
    • Preparing transfer pricing regulations

2.4. Payroll services, including but not limited to:

  • Employee Payroll:
    • Calculating monthly salaries for employees
    • Preparing and issuing payroll statements
    • Calculating base salary, overtime, premiums, and other benefits
  • Calculating Contributions and Taxes:
    • Calculating social security contributions
    • Calculating health and pension insurance contributions
    • Calculating and withholding personal income tax
  • Managing Employee Benefits:
    • Managing cafeteria systems
    • Managing meal vouchers, travel passes, and other benefits
    • Managing pension fund and health fund contributions
  • Labor Administration:
    • Managing employment contracts and employment-related documents
    • Registering new employees
    • Administering employment termination
  • Preparing Payroll Reports and Statements:
    • Preparing monthly, quarterly, and annual payroll reports
    • Conducting payroll cost analysis and statistics
    • Preparing employee payroll statements and other reports
  • Managing Absences and Leave:
    • Recording absences and sick leave
    • Managing unpaid leave and other absences

  • Regulatory Reporting and Data Provision:

    • Identifying and correcting payroll errors
  • Managing Electronic Payroll Systems:
    • Implementing and maintaining payroll software
    • Managing electronic payroll statements
    • Ensuring data protection and security in payroll systems
  • Advisory and Training:
    • Interpreting payroll rules and regulations
    • Providing payroll training for employees and HR professionals
    • Advising on the development of payroll structures

2.5. Corporate support services, including but not limited to:

  • Office rental
  • Vehicle rental
  • Internet and telephone rental
  • Providing office equipment and devices
  • Registered office services

3. Contract Conclusion

The basic condition for the use of the services is that the Service Provider and the Client enter into a written agreement, which includes the specific services, remuneration, and other conditions.

By concluding the individual contract, the Client accepts the provisions of these GTC.

4. Remuneration and Payment Terms

The service fee is due according to the conditions specified in the contract.

The Client is obliged to settle the service fee within 8 days of receiving the invoice.

In the event of late payment, the Service Provider is entitled to charge late payment interest at the statutory rate, which is twice the prevailing central bank base rate.

5. Rights and Obligations

The Service Provider holds the copyright to the professional materials provided.

The Client is only entitled to use the professional materials provided after the full payment of the fee specified in the contract.

Before paying the fee, the Client may not use, reproduce, or transfer the provided professional materials to third parties.

If the Client fails to pay the fee specified in the contract, the Service Provider is entitled to immediately prohibit the use of the provided professional materials and take legal action to cease the infringement.

6. Disclaimer of Liability

The Service Provider acts with the utmost care in providing the services, but does not assume responsibility for the accuracy and completeness of the data provided by the Client.

The Service Provider shall not be liable for any direct or indirect, consequential, incidental, or special damages arising from the use of the services or their improper application. This includes but is not limited to lost profits, data loss, business interruption, or any other economic losses arising from the use of the services.

7. Data Protection

The Service Provider handles the Client’s personal and business data in accordance with the applicable data protection laws.

Details of data management are contained in the Service Provider’s Privacy Statement, which is available on the website.

8. Amendment and Termination of Contract

The individual contract can only be modified in writing with the consent of both parties.

The termination of the individual contract is governed by the conditions set forth therein.

The Service Provider reserves the right to unilaterally modify these GTC. Clients will be notified of any changes to the GTC in advance.

9. Dispute Resolution

The parties shall seek to resolve any disputes amicably. If this is not possible, the court with jurisdiction over the Service Provider’s registered office shall have exclusive jurisdiction to resolve the dispute.
